Disclaimer of Warranties
Expedient provides the Site on an “as is” and “as available” basis, without any express or implied warranties of any kind, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Site will be uninterrupted, timely, secure, or error-free. Any reliance on such information is at your own risk.
Limitation of Liability
To the maximum extent permitted by law, Expedient, including its directors, employees, contractors, and agents, shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, arising from:
your access to or use of, or inability to access or use, the Site and our Services;
any conduct or content of any third party on the Site;
any unauthorized access to or use of our servers and/or any personal information stored therein.
any bugs, viruses, or the like that may be transmitted to or through the Site by any third party.
any content obtained from the Site;

any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Site.
Expedient’s total liability for all claims under these Terms shall not exceed the amount you paid, if any, for access to the Site or Services in the 12 months preceding the claim. This limitation of liability applies to the fullest extent permitted by law in the applicable jurisdiction.
Indemnification
You agree to indemnify, defend, and hold harmless Expedient, its directors, officers, employees, contractors, and agents, from and against any claims, liabilities, damages, losses, costs, or expenses, including reasonable attorneys’ fees, arising out of or related to:
your use or misuse of the Site or our Services;
your violation of these Terms;
any content or information you provide through the Site, including PHI; or
your violation of any applicable laws or regulations.
This indemnity obligation shall survive termination of these Terms.
Dispute Resolution; Applicable Law
This section applies to any disputes that may arise between you and Expedient. By agreeing to these Terms, you agree to first attempt to resolve any disputes informally by contacting us at info@expedientmedicolegalservices.com. If a resolution cannot be reached within 30 days, the dispute will be resolved through binding arbitration, except where local laws prohibit binding arbitration or where claims can be brought in small claims court.
You have the right to opt out of arbitration within 30 days from the date you accept these Terms. To do so, you must send a written notice to us at info@expedientmedicolegalservices.com, including your full name, email address, and phone number associated with your information with us, along with a clear statement requesting to opt out of arbitration.
Applicable Law and Jurisdiction. These Terms, as well as any disputes arising between you and Expedient, will be governed by and construed in accordance with the laws of the State of California, US, without regard to its conflict of law principles. For any disputes not subject to informal resolution or binding arbitration, you agree that the exclusive venue for resolving such disputes will be in the state or federal courts located in Encino, California. You consent to personal jurisdiction and waive any objections to venue or jurisdiction in these courts. By agreeing to these Terms, you acknowledge that these courts will have jurisdiction over any dispute that cannot be resolved informally or through arbitration.
Binding Arbitration. In the event that we are unable to resolve a dispute through informal resolution within 30 days, either you or we may initiate binding arbitration. The arbitration shall be conducted under the Commercial Arbitration Rules of the American Arbitration Association (AAA), and where appropriate, under the AAA’s Supplementary Procedures for Consumer-Related Disputes. Both of these rules are available on the AAA’s website at http://www.adr.org.
Arbitration will be held in Encino, California, unless otherwise mutually agreed, and shall be governed by the Federal Arbitration Act. The decision of the arbitrator will be final and binding, subject only to a very limited review by a court. The arbitrator has the authority to award the same relief available in a court of law, but the relief may only be awarded to the individual party seeking the relief and to the extent necessary to resolve that specific claim.
Arbitration Restrictions. You agree that arbitration will be conducted on an individual basis, and to the maximum extent permitted by law:
No arbitration shall be joined with another arbitration.
No dispute shall be arbitrated on a class-action basis or use class-action procedures.
No dispute shall be brought in a purported representative capacity on behalf of other persons or the public.
You further acknowledge and agree that by entering into this arbitration agreement, you are waiving your right to a jury trial and your right to resolve any dispute through litigation in court, except as specifically provided for in these Terms or as required by applicable law.
Waiver of Jury Trial. You understand that absent this arbitration provision, you would have the right to a trial in court, including the right to a jury trial. By agreeing to binding arbitration, you waive these rights. Any dispute that falls outside the scope of arbitration or that cannot be arbitrated under applicable law may be heard in a court of competent jurisdiction in Encino, California, as outlined above.
Exceptions to Arbitration. The following disputes are exempt from arbitration and may be resolved in a court of competent jurisdiction:
Disputes seeking to enforce or protect (or concerning the validity of) any party’s intellectual property rights.
Claims related to or arising from allegations of theft, piracy, invasion of privacy, or unauthorized use.
Claims for injunctive relief or other equitable remedies.
Mass Arbitration. If 25 or more similar arbitrations are filed against us by the same or coordinated parties, the arbitration proceedings will be governed by the AAA’s Mass Arbitration Rules. These rules address the administration and management of mass arbitrations, ensuring that multiple claims are handled efficiently. You can find the Mass Arbitration Rules on the AAA’s website.
Severability. If any part of this Dispute Resolution section, including the arbitration provision, is found to be unenforceable or invalid, that portion will be severed from this section. The remainder of the Dispute Resolution section will remain in effect. If a court determines that the prohibition on class actions or representative actions is unenforceable, the dispute shall be moved to court, but arbitration will remain in effect for all other claims.
Right to Seek Relief. Nothing in this section prevents either party from seeking emergency or interim relief in a court of competent jurisdiction to protect its interests pending the outcome of arbitration. However, once arbitration has been initiated, any relief must be sought through the arbitration process unless the case involves the exceptions outlined above.
Changes to Terms
We may update these Terms at any time to reflect changes in our Services, legal obligations, or operational policies. When we make changes to these Terms, we will notify you by updating the “Last Update” date at the top of these Terms, posting a notice on the Site, or sending an email if you have provided one.
By continuing to access the Site and using our Services after changes are made to these Terms, you acknowledge and agree to the revised Terms. If you disagree with the changes, you may discontinue accessing the Site and using our Services. We encourage you to review these Terms regularly to stay informed of any updates.

The Site may contain links to third-party websites, applications, or services that are not owned, controlled, or operated by Expedient. We provide these links solely for your convenience and are not responsible for the content, privacy practices, or terms of these third-party websites. Accessing or using third-party links or services is at your own risk. We encourage you to review the policies of any third-party website or service before engaging with them.
Entire Agreement
These Terms, along with our Privacy Policy and any applicable additional agreements or policies referenced herein or in our Services, constitute the entire agreement between you and us concerning the Site and our Services. They supersede any prior agreements, discussions, or understandings, whether oral or written.
Severability
If any provision of these Terms is found to be unenforceable or invalid, the provision shall be severable from these Terms, and the remaining enforceable and valid provisions shall continue to apply. The severable provision may be replaced with a provision that most closely aligns with its intent.
No Waiver
Any failure or delay to enforce any right or provision in these Terms shall not be considered a waiver of that right or provision later or on similar violations unless we acknowledge and agree to the waiver in writing. Any waiver of a breach or default under these Terms shall not be deemed a waiver of any subsequent breach or default.
Force Majeure
If any event prevents us from discharging our obligations, such as natural disasters, acts of government, internet breakdowns, power outages, or other disruptions, we shall not be held liable for any liabilities that delay or non-performance.
No Partnership
Your use of our Services does not create any partnership, agency, joint venture, or any other fiduciary relationship between you and us. You may not represent us in any manner except where we agree to it in writing.
